Roseville Music Club Rules

1. Title

The name of the organisation is Roseville Music Club. It will be referred to in these Rules as RMC.

 

2. Purpose

The purpose of RMC is to provide high-quality concert music, foster and encourage emerging talent and provide enlightenment for, and engagement with, the community at large.

 

3. Management

Responsibility and powers for carrying out the affairs of RMC are managed by a Committee.  The Committee is elected by, and from among, its members at the annual general meeting.

 

4. Committee

(a) The Committee will consist of the following positions: President, Vice-President, Director of Music, Treasurer, Secretary and other members as the Committee deems necessary to fulfil its role. The Committee will retire at every annual general meeting and be eligible for re-election;

(b) the role of the Committee is to plan concerts, choose and engage performers, set annual subscriptions and ticket prices, advertise the events and manage the affairs of RMC in such a way as to maintain its financial viability and growth;

(c) prior to the commencement of each season, the Committee is to produce a programme which will be circulated by email, or other means if necessary, to members and friends and be available on the website;

(d) meetings of the Committee will be held as soon as practicable after each concert. A quorum for Committee meetings will be half the number of committee members, plus one.

 

5. Membership

An annual concert subscription, due before the first concert of the year, entitles membership of RMC as follows to:

(a) attend all concerts in an annual season;

(b) receive, by email, or other means if necessary, notification of forthcoming concerts and updates relevant to membership;

(c) attend and vote at the annual general meeting;

(d) receive, by email or other means if necessary, an invitation to renew membership for the following season;

(e) transfer membership.

 

In addition:

 

(f) in an unpredictable crisis or circumstances (eg  Covid 19), RMC reserves the right, and obligation, to enact appropriate protocols which may require cancellation of concerts and suspension of subscriptions until concerts can be safely resumed. In such circumstances, membership status is maintained;

(g) concessional memberships will apply with a current Government Pension Card;

(h) members must advise RMC of any changes to their contact details.

 

6. Life and Complimentary Memberships

The Committee reserves the right to grant a Life and Complimentary Membership to a person whose service and contribution to RMC over time has been significant.

 

7. Friends of RMC

The Committee will maintain email contact with non-members who attend, or have expressed an interest in, RMC concerts, for updates of upcoming events and relevant RMC information.

 

8. Finance

RMC is a not-for-profit organisation. It is affiliated with the Federated Music Clubs of Australia (FMCA). Concerts will be funded by subscriptions and individuals ticket sales, at prices set by the Committee, and by donations.

(a) RMC’S financial year is from 1 January to 31 December;

(b) the assets of RMC will be under the control and management of the Committee and will be used solely for the purposes set out in Rule 2;

(c) RMC’s funds will be managed through a bank with the Treasurer and at least one other authorised person to operate on the account with two to sign any transaction on the account;

(d) the profits or assets of RMC shall in no circumstances be divided among the members, except in the event of cancelled concerts when refunds will be offered;

(e) on the winding up of RMC, no past or present members of the Committee may benefit financially from any such distribution, except in the event of cancelled concerts.

 

9. Annual General Meeting (AGM)

An annual general meeting will be held each year on a date determined by the Committee and prior to the first concert of the season. At least seven (7) days clear notice, by email, or other means if necessary, of the date of an AGM must be given to:

(a) each member of RMC;

(b) the Secretary by a member who wishes to move a resolution at the meeting.

 

10. Special General Meeting

A special general meeting of members may be called with seven (7) days clear notice either at the instance of the Committee, or on the signed requisition of ten (10) members and handed to the Secretary. The quorum for any special general meeting will be ten (10). Only such business specified on the notice convening the meeting will be transacted at a special general meeting.

11. Federated Music Clubs of Australia (FMCA)

RMC is affiliated with the FMCA and  is represented by a Committee member to attend meetings of The New South Wales Council of the FMCA. The Club is required to:

(a) pay an affiliation fee, as determined from time to time, to the FMCA’s NSW Council for the purposes of the general fund which covers Insurance and Performing Rights, of RMC.  A current Certificate of Currency for Public and Product Liability is held by RMC;

(b) forward a copy of each concert programme to the President and Secretary of The NSW Council so that a representative of the FMCA may attend;

(c) each programme to reference The NSW Council’s provision of student awards and free concerts each year.

 

12. Winding Up

RMC may be wound up by resolution at an annual or special general meeting provided notice convening the meeting specifies the proposed resolution and is carried by at least two-thirds of members voting. The Committee existing before the passing of such resolution shall continue for the purpose of such winding up. In the event that RMC is wound up mid-season, refunds of cancelled concerts will be made to members. The remaining assets of RMC will be paid to The NSW Council of the FMCA.

 

13. Rules

(a) These Rules can be accessed on the Roseville Music Club’s website or by contacting the Secretary;

(b) the Committee is the sole authority for the interpretation of the Rules and its decision on any question of interpretation will be final and binding on the members;

(c) he Rules may be added to, repealed or amended by resolution at any annual or special general meeting, provided that no such resolution shall be deemed to have been passed unless at least two-thirds of members present vote in favour thereof.

 

14. Committee Members’ Liabilities

The members of the Committee will at all times be entitled to be indemnified to the limit of the value of the Club’s net assets against all claims, liabilities, losses and expenses in relation to any activities that they carry out within their explicit or implicit authority.
